The Takeover Commission has completed the investigation procedures dealing with the issue of whether the MS Private Foundation has, due to acting in concert with other parties, wrongly not made a mandatory bid or omitted a mandatory announcement (§§ 22 to 25 Austrian Takeover Act – ÜbG), with a notification dated 31 January 2008, delivered on 1 February 2008.
The Takeover Commission stated in its notification that the MS Private Foundation infringed neither upon the obligation to make a mandatory announcement nor the obligation to make a mandatory bid; therefore no sanctions according to civil law (§ 34 ÜbG) have been imposed.
